Terms of service
These terms are an agreement between Bookkeep Accounting Software Inc., a Delaware corporation ("BookkeepLedger", "we", "us"), and the business or person that creates an account or company ("you"). If you accept these terms for a business, you confirm you have the authority to bind it.
By creating an account or using BookkeepLedger, you agree to these terms and to our privacy policy. If you take part in the beta, the beta agreement you accept also applies.
1. The service
BookkeepLedger is bookkeeping software for small businesses and the accountants who work with them. It covers the chart of accounts, bank connections, transactions, invoices and payments, bills and expenses, reconciliation, closing the month and reports. It includes an AI assistant called the desk. It runs in a web browser, with apps for iOS and Android where available.
2. Your account
- Who can sign up. You must be at least 18 years old and use BookkeepLedger for a business, not for personal or household purposes.
- Sign-in. Your account uses your email address, a password and an authenticator app. Two-step sign-in is required for every account and can't be turned off. When you set it up you get 10 single-use recovery codes. Keep them somewhere safe: they're how you get back in if you lose your authenticator app.
- Lost access. If you lose both your authenticator app and your recovery codes, we'll verify your identity before we reset your two-step sign-in. We may refuse a reset we can't verify.
- Keeping it safe. You're responsible for what happens under your account and for keeping your password, authenticator and recovery codes private. Tell us straight away at info@bookkeepsoftware.com if you think someone else has used your account.
- Accurate information. Keep your name, email address and company details accurate.
3. Companies, teams and accountants
- The person who creates a company in BookkeepLedger is its owner. The owner, or an admin, can invite other people as Admin, Accountant or Viewer. Each role can do different things, as shown on the Team screen.
- You decide who you invite and what role they have, and you're responsible for what the people you invite do in your company.
- An accountant or bookkeeper you invite works in your company under these terms. Any agreement between you and your accountant, such as fees, scope or responsibility for their work, is between the two of you.
- A company's data belongs to the business, not to the individual user. If the owner leaves the business, we'll transfer ownership on a written request from an authorized officer of the business, after verifying it.
4. Acceptable use
You agree not to:
- break the law, or use BookkeepLedger to commit or hide fraud, money laundering, tax evasion or sanctions violations;
- put in information you don't have the right to use, including other people's personal information without a lawful basis;
- try to get into another company's data, another person's account, or parts of the service you weren't given access to;
- probe, scan or test the service for weaknesses without our written permission;
- overload the service, get around rate limits or usage limits, or scrape it;
- copy, resell, or build a competing product from the service, or reverse engineer it except where the law allows;
- upload malware, or files and text meant to trick the AI features into acting against you or other users; or
- send spam or misleading email through invoice, reminder or collection emails.
We may suspend access that breaks these rules or puts the service or other customers at risk. Where we reasonably can, we'll tell you first and give you a chance to fix it.
5. Your data stays yours
- Customer data means everything you and your team put into BookkeepLedger or connect to it: your books, bank transactions, receipts and statements you upload, information about your customers and vendors, and what you ask the desk.
- You own your customer data. You give us permission to store, copy, process and display it only to run, secure and support BookkeepLedger for you, to follow your instructions (for example, sending an invoice email), and as the law requires.
- We don't sell your data, and we don't use your books to train AI models.
- How we handle personal information is described in our privacy policy.
- You're responsible for having the right to put data into BookkeepLedger, including personal information about your customers, vendors and employees, and for giving them any notices the law requires.
- You're responsible for the accuracy of your books, for keeping your own records as the law requires, and for what you file with tax authorities.
6. Exporting your data
On the Pro plan, owners, admins and accountants can export the books at any time from the Export to QuickBooks screen: the chart of accounts, customers, vendors, journal entries, invoices and bills as QuickBooks IIF files, and bank transactions as a CSV file. On any plan, and for anything the export screen doesn't cover, such as receipt and statement files you uploaded, email us at info@bookkeepsoftware.com and we'll send you a copy. This also applies for 30 days after your account ends (see section 12).
7. AI features and automation
- What the desk does. The desk is a team of AI agents built on Claude models run through Amazon Bedrock. With the permissions of the person asking, it reads your company's books to answer questions, spot problems and suggest work, such as categorizing bank lines, proposing journal entries or rules, chasing overdue invoices and preparing the month-end close.
- Nothing changes until a person approves it. The desk never changes your books by itself. Every change it suggests is saved as a proposal that waits for someone in your company who has permission to make that change. When they approve it, the change runs exactly as if they had made it themselves, under their permissions and the normal rules of the books (for example, closed periods stay locked), and it's recorded in the audit log. You're responsible for the proposals you approve. Some approved proposals send email, such as a payment reminder to one of your customers.
- Notes. The desk keeps short notes about how your business works, such as how you like a vendor coded or why you rejected a proposal, and uses them in later conversations. Notes it writes itself are marked as unconfirmed. You can see and delete them under What the desk remembers.
- Other automation runs on your instructions. Some features act without a separate approval each time because you set them up: categorization rules file matching bank lines on their own, recurring templates create entries on their schedule, invoice reminders go out on the days you choose, and a receipt can be linked to a single clear matching bank transaction. Receipt and statement reading also uses AI to fill in details for you to check.
- AI can be wrong. AI output can be incomplete or incorrect. Check it before you rely on it. BookkeepLedger, including the desk, does not give tax, legal, accounting, audit or financial advice and doesn't replace a qualified professional. Talk to your accountant or tax adviser before making decisions or filing returns.
- Limits. The desk needs an active subscription or trial. Each plan includes a monthly AI allowance, and we limit how many requests a company can make per hour to keep the service fair and affordable. We may change these limits.
- Voice input. Where it's available, you can dictate instead of typing. Your recording is turned into text by a speech-to-text service we run ourselves and isn't stored.
8. Third-party services
Some features depend on other companies' services. When you use them, their terms apply too, and we're not responsible for their services.
- Bank connections (Plaid). We use Plaid Inc. to connect to your bank and bring in your accounts and transactions. By connecting a bank, you agree to Plaid's End User Privacy Policy. Bank data can be late, missing or wrong, so check it against your statements.
- Payments (Stripe). Subscriptions are billed through Stripe. If you choose to accept card payments on your invoices, you open a Stripe account through Stripe Connect and agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. Stripe, not BookkeepLedger, processes those payments and pays them out to you, and Stripe's processing fees apply. We add no platform fee to invoice payments today; if that changes, we'll tell you at least 30 days in advance.
- Other service providers we use to run BookkeepLedger are listed on our subprocessors page.
9. Fees and subscriptions
- Plans. BookkeepLedger offers a Basic plan at $15 a month and a Pro plan at $29 a month, each with a 30-day free trial. A card is required to start the trial. Beta participants may receive different terms in their beta agreement.
- Billing. Subscriptions are billed monthly in advance through Stripe and renew automatically until you cancel. Prices don't include taxes, which we'll add where the law requires.
- Trial. At the end of the trial, your card is charged for the plan you chose unless you cancel before the trial ends.
- Cancelling. You can cancel at any time from the billing settings in the app, or by emailing us. Your plan stays active until the end of the period you've paid for. We don't refund partial months, except where the law requires it.
- Without a subscription. If your subscription ends or a payment fails, features that need a subscription, such as bank sync and the desk, stop working. You can still sign in and ask us for a copy of your data.
- Price changes. We'll give you at least 30 days' notice before a price change applies to you.
10. Beta and availability
- Parts of BookkeepLedger are pre-release. Features may change, be removed, or not work as expected. We don't promise any particular uptime, and there's no service level agreement unless a separate written agreement says otherwise.
- We may need to take the service down for maintenance or to deal with problems. We'll try to give notice of planned maintenance.
- Keep your own copies of important records.
11. Our responsibilities and limits
- Warranty disclaimer. Except as these terms say otherwise, BookkeepLedger is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and any warranty that the service or its AI output will be accurate, error-free or uninterrupted.
- Limitation of liability. To the extent the law allows: (a) neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible; and (b) our total liability arising out of these terms or the service is limited to the amount you paid us in the 12 months before the claim, or $100 if you paid nothing.
- Some places don't allow these exclusions or limits, so they may not all apply to you.
12. Ending the agreement and getting your data back
- You can stop using BookkeepLedger at any time and cancel your subscription as described in section 9. To close your account or delete a company, email us at info@bookkeepsoftware.com.
- We may suspend or end your access if you seriously or repeatedly break these terms, don't pay, or if we have to for legal reasons. We may also stop offering BookkeepLedger, or the beta, with at least 30 days' notice.
- Your data afterwards. After your account or company ends, you have 30 days to get a copy of your data (see section 6). After that we delete your customer data within 30 days, except copies we must keep by law. Deleted data leaves our backups within 7 days. See the privacy policy for details.
- Sections 5, 11, 12 and 14 continue after the agreement ends.
13. Changes to these terms
We may update these terms. For changes that matter, we'll tell you by email or in the app at least 30 days before they take effect. If you keep using BookkeepLedger after that, the new terms apply. If you don't agree, you can cancel and get a copy of your data before then.
14. General
- Governing law. These terms are governed by the laws of the State of Delaware, excluding its conflict of law rules.
- Disputes. Disputes will be resolved in the state or federal courts located in Delaware, and both of us agree to their jurisdiction.
- Notices. We send notices to the email address on your account. You send notices to info@bookkeepsoftware.com.
- Assignment. You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets, with notice to you.
- Entire agreement. These terms, the privacy policy, and any order form or beta agreement are the whole agreement between us about BookkeepLedger.
- Severability and waiver. If part of these terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it.
- Force majeure. Neither of us is liable for delays caused by events beyond reasonable control.
